MÔ TẢ CÔNG VIỆC

Main Purposes:
Provide strong legal leadership and support to VN Foods MU’s initiatives and projects, ensure that the MU is aware of the local regulations, provide appropriate training, and assist the MU in complying with relevant laws and policies.

Key Accountabilities:

1. General Legal Advice:

  •  Supervise and manage legal team to provide advice on day-to-day legal matters;
  • Provide legal advice on legal risk implications and bring legal issues to management’s attention through weekly/regular meetings with the VN Foods ExCom;
  •  Understand the business and develop an in-depth understanding of how legal issues affect the business.

2. Contracts:

  •  Review contracts for compliance with PepsiCo policies and applicable laws and to protect PepsiCo’s best interests;
  •  Draft and review legal documents, such as business partnership agreements, service contracts, and Project and Supply Chain Management Team contracts for compliance with PepsiCo policies and local laws and to provide accurate and clear English translations, referring complex matters to CU and Region Legal as necessary;
  •  Accurately and appropriately prepare legal documents in English;
  • Identify legal issues, especially relating to proposed amendments to company standard forms;
  • Ensure proper alignment, communications and coordination with CU Legal, external counsel and internal functions for non-routine new contracts;
  • Supervise contract filing/document management.

3. Risk Management & Legal Compliance:

  •  Identify legal risk and timely provide legal advice to
  • ExCom and propose appropriate courses of action that should be taken.
  • Provide updates on new laws and regulations to Excom members/function head and evaluate the impact, if any, such new laws and regulations have on the business.
  • Develop compliance and regulatory charts on laws, regulations, and required licenses/permits relevant to the business.
  •  Provide updates on legal requirements and their implications for the business through regular meetings with key managers.
  •  Provide updates on PepsiCo compliance policies issued by the PepsiCo Global Compliance & Ethics team and communicate any changes to the business.
  • Work with and support Region Compliance & Ethics team for trainings, communications, and investigations in Vietnam.
  •  Conduct compliance self-check by setting up questionnaire for each function (e.g., questionnaire regarding labor law for HR, labelling, packaging for QC, advertising, promotion for marketing), getting input from functions to identify whether functional activities are in compliance with the law
  •  Recommend corrective actions to the business on compliance matters, as relevant and necessary.
  • Be a member of the CEC and assist in resolving Speak Up cases in accordance within deadlines set by the Region.
  • Conduct/participate in investigations as needed by the CEC.

4. Corporate Governance: Provide required documentation and training for corporate governance-related matters.

5. Government documents and communication:

  •  Provide documents to the business and function for government filings or requests/responses to government offices.
  • Lead legal registration/extension processes (e.g., new branch/ office/ plant, product, brand).
  •  Work with government and regulatory agencies regarding business matters (e.g., permits/licenses/certificates, understanding regulation requirements, clarifying processes and regulations).

6. Advertising & Marketing Review and Approval: Review and approve (with Marketing/Category) all advertising & marketing materials, including labelling and marketing claims; assess compliance with PepsiCo policies and local laws.

7. Litigation and Legal Opinions:

  •  Hire and manage external lawyers as necessary, for legal opinion, advice, representation, etc.
  •  Supervise and consult with external law firms during litigations.
  • Manage legal expenses.

8. Conduct training: Conduct training as required by AMENA/Region/CU Legal, such as:

  •  U.S. Foreign Corrupt Practices Act (FCPA)/Anti-Bribery/Corruption
  • Anti-Trust/Competition Law
  •  Contract signing procedure
  •  Advertising & marketing regulations
  •  Corporate governance

9. Other responsibilities:

  •  Ad hoc legal projects/assignments as requested by the GM
  • Chief of staff of Crisis Management Team
  •  Handle any other day to day legal matters relating to VN Foods business.
YÊU CẦU CÔNG VIỆC

• Law degree from an accredited top law school with a demonstrable superior academic record and training.
• Admitted to practice law in Vietnam with current legal practitioner’s certificate.
• Minimum of 8 years of experience, in both law firm and in-house, particularly in consumer goods. Experience in FMCG, particularly food & beverage a plus.
• Experience in drafting international and domestic commercial contracts.
• Solid knowledge of Vietnam laws/regulations.
• Experience in contract, labor/employment, intellectual property, and commercial law.
• Litigation experience preferable.
• Significant negotiating skills and experience with multi-national companies, local suppliers and distributors.
• Solid experience in corporate commercial legal work in Vietnam with a good understanding of government processes & regulatory environment. Experience in litigation and litigation strategy a plus.
• Proficiency in Vietnamese and English: speaking, writing and legal fluency, with ability to give presentations in both Vietnamese and English.
